Architecture Contest Official Rules
PageWing, LLC (“PageWing”) organizes and runs the Words of Love Architecture Contest (hereinafter “Contest”) which is subject to the following Official Rules (hereinafter “Rules”). Participation in the Contest constitutes your agreement and acceptance of these Rules. All federal, state, local, municipal laws and regulations apply. NO PURCHASE NECESSARY. PURCHASE WILL NOT IMPROVE CHANCES OF WINNING.
The Contest is open to all individuals over the age of 18 at the time of entry and to all validly formed legal entities that have not declared or been declared in bankruptcy.
The Contest is open to residents of the Unites States and worldwide, except for residents of countries designated by the United States Treasury’s Office of Foreign Assets Control (see http://www.treasury.gov/resource-center/sanctions/SDN-List/Pages/default.aspx for additional information). Other local rules and regulations may apply to you, so please check your local laws to ensure that you are eligible to participate in skills-based competitions.
PageWing may prohibit any individual from participating in this Contest or any future promotion offered by PageWing, if, in the sole opinion of PageWing, such individual (i) has tampered with the registration process or the operation of the Contest, (ii) shows a disregard for the rules, or (iii) acts (a) in an unsportsmanlike manner, (b) with an intent to annoy, abuse, threaten, or harass PageWing or any other Participant, or (c) in any other disruptive manner. The Contest may be terminated at any time after its commencement without prior notice. All applicable federal, state and local laws apply. Void where prohibited by law or regulation.
Entry and Submission
To participate, you must visit and follow the directions provided. “Submission” means the material created and submitted by you in the form of an architectural plan in order to participate in this Contest, according to the following guidelines:
a Submission must include one and only one single image file in jpg or PDF file format, with a resolution of at least 200 dpi;
a Submission image file must be no greater than 15MB; and
Submissions must be sent over email to hello [at] teymourshahabi [dot] com.
In addition to the Submission image file, every Participant has the right but not the obligation to include explanatory notes in the email accompanying their Submission; any such notes will be considered part of the Submission and be subject to the relevant warranties and obligations laid out in these Rules.
Each registered individual is referred to as a Participant ('Participant'). You may only participate as one individual. The same submission by more than one individual Participant is a breach of these Rules and PageWing reserves the right to disqualify any Participant who is found to breach these Rules. Moreover, participating using more than one email address is deemed cheating and, if discovered or reasonably suspected, will result in disqualification from the Contest.
In order to qualify as a potential winner, every Participant must submit exactly one submission between registration, which opens at 9 a.m. EST on Monday, April 5, 2021, and the official deadline of Friday, May 28, 2021. Note that this deadline is subject to change. Any additional or altered deadlines not already described in these Rules will be publicized to each Participant via the email address provided during registration. PageWing is not responsible for any failure of a Participant to receive such information. Submissions must be conceived and created entirely by the Participant.
Eligibility of your submission will be at the sole discretion of PageWing, for any reason or for no reason, though specific reasons for disqualification may include use of inappropriate language or visuals. PageWing is not responsible for and will not consider incomplete or incorrect submissions. Submissions generated by script, macro, mechanical or other automated means and entries by any means which subvert the entry process are void. Entrants are entirely responsible for all of their content submitted in the Contest.
Upon registering, PageWing will send to every participant an unpublished excerpt (hereinafter “Text”) from a hitherto unpublished novel by Teymour Shahabi. Participants must use the Text solely for the purpose and duration of the Contest, including but not limited to reading and learning from the Text, analyzing the Text, and generally using the Text for insight and inspiration in creating your Submission. Participants must not copy, access, store, archive, or otherwise use the Text for any purpose other than to participate in the Contest for which the Text was provided. Participants may not use the Text in such a way as to repackage, resell, or otherwise similarly exploit the Text. Participants agree to use suitable measures to prevent persons who have not formally agreed to these Rules from gaining access to the Text and agree not to transmit, duplicate, publish, redistribute or otherwise provide or make available the Text to any party not participating in the Contest. Participants agree to notify PageWing immediately at hello [at] teymourshahabi [dot] com upon learning of any possible unauthorized transmission or unauthorized access of the Text and agree to work with PageWing to rectify any unauthorized transmission. Participants agree that participation in the Contest shall not be construed as having or being granted a license (expressly, by implication, estoppel, or otherwise) under, or any right of ownership in, any of the Text.
Note that the Text is subject to change. Any additions or alterations to the Text will be publicized to each Participant via the email address provided during registration. PageWing is not responsible for any failure of a Participant to receive such information.
This Contest is a challenge of skill, and the odds of winning depend on the number and content of eligible entries received. PageWing is looking for the submission that most accurately reflects both the spirit and the letter of the Text, while showcasing both creativity and execution skill, all as determined by PageWing in its sole but reasonable discretion (collectively “Selection Criteria”).
There will be one grand prize winner and nine second place winners (collectively “Winners”). PageWing will choose the winning entry in its sole discretion, based on the Selection Criteria laid out above. Prize awards are subject to verification of eligibility and compliance with these Rules. All decisions of PageWing will be final and binding on all matters relating to this Contest with no right to appeal. PageWing may examine the Submission and any materials for compliance with these Rules.
Every Participant agrees to grant and hereby grants to PageWing an irrevocable, worldwide, and royalty-free right to review the Submission (including any and all submitted materials) for purposes related to evaluation and scoring in this Contest.
No more than the stated number of prizes will be awarded. No transfer or substitution of prizes is permitted. Where permitted by law, by accepting a prize, each winner agrees to the printing, publication, broadcasting, distributing, and release of his/her name/pen name, likeness, photograph and city and state of residence for potential promotional purposes in any media worldwide, without further payment or consideration or, notice, review, or consent.
Winners will be notified via the email addresses associated with their registrations.
The grand prize winner’s architectural plan will be:
reproduced in the final published book from which the Text or some revised version thereof is excerpted; and
credited to the grand prize winner by name in the Acknowledgments of this book.
All ten Winners will receive a signed copy of this book upon publication.
A Participant may decline to be nominated as a Winner by notifying PageWing directly within one week following the Contest deadline, in which case the declining Participant forgoes any prize or other features associated with winning the Contest. PageWing may disqualify a Participant who so declines at PageWing’s sole discretion if PageWing deems disqualification appropriate.
Potential winners will be disqualified and the relevant prize may be awarded to an alternate winner if
the prize notification letter/email or prize is returned as undeliverable; or
the potential winner is disqualified for any reason.
By accepting any prize, each Participant receiving a prize thereby agrees to use of his/her name, likeness and/or prize information by PageWing for promotional purposes in any medium without additional compensation.
As a further condition of receipt of a prize, each winning Participant:
grants to PageWing and its designees a worldwide, non-exclusive, sub-licensable, transferable, fully paid-up, royalty-free, perpetual, irrevocable right to use, not use, reproduce, distribute, create derivative works of, publicly perform, publicly display, digitally perform, make, have made, sell, offer for sale, and import and otherwise exploit and use their winning Submission, in any media now known or hereafter developed, for any purpose whatsoever, commercial or otherwise, without further approval by or payment to Participant; and
represents that they have the unrestricted right to grant that license without the need for any licenses, releases, consents, approvals or immunities not yet obtained.
After verification of eligibility, each prize winner will receive the prize from PageWing or a third party contracted by PageWing for such purpose. If the prize is a copy of the final published book from which the Text or some revised version thereof is excerpted, allow 30 days from publication for prize delivery. Prize winners are responsible for any taxes, fees or other liability resulting from their receipt of a prize.
Participant Warranties and Obligations
By registering, you agree that (a) any information you provide to register is complete, correct and accurate and (b) your registration may be rejected or terminated and any Submission submitted by you may be disqualified if any of the information you provide is (or PageWing has reasonable grounds to believe it is) incomplete, incorrect or inaccurate. You are solely responsible for your registration. All registration information is deemed collected in the United States.
Participation is subject to all federal, state and local laws and regulations. Void where prohibited or restricted by law. You are responsible for checking applicable laws and regulations in your jurisdiction before participating in the Contest to make sure that your participation and any receipt of any prize hereunder is legal. You are responsible for all taxes and reporting related to any prize that you may receive as part of the Contest and receipt of any prize. You are responsible for abiding by your employer's policies regarding participation in the Contest. PageWing disclaims any and all liability or responsibility for disputes arising between you and your employer related to this Contest and any such dispute may lead to Participant’s disqualification.
Each Participant is solely responsible for all equipment, including but not necessarily limited to a computer and internet connection necessary to develop and share any Submission, as well as all costs incurred by or behalf of the Participant in participating in the Contest.
By registering and entering a Submission, you represent and warrant that all information you provide in relation to this Contest is true and complete to the best of your knowledge, that you have the right and authority to make the Submission (including any underlying drawings and designs) on your own behalf, including the unrestricted right to grant the license contemplated herein to PageWing, and that your Submission:
is your own original work;
does not contain confidential information or trade secrets and is not the subject of a registered patent or pending patent application;
does not violate or infringe upon the patent rights, industrial design rights, copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity;
does not violate the license of any software used to create the Submission;
is not and does not contain nor is based on material, non-public information;
does not contain malicious code, such as viruses, timebombs, cancelbots, worms, Trojan horses or other potentially harmful programs or other material or information and free from any “self-help” code or other disabling code;
does not and will not violate any applicable law, statute, ordinance, rule or regulation;
does not trigger any reporting or royalty obligation to any third party; and
was not previously published and has not won any other prize/award.
A breach of any of these warranties will result in the corresponding Submission being invalid in addition to any other remedies available to PageWing.
Agreement to Rules
By participating in the Contest, you agree to be fully unconditionally bound by these Rules, and represent and warrant that you meet the eligibility requirements. In addition, you agree to accept the decisions of PageWing and acknowledge that the decision of PageWing is final and binding. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision of these Rules. In the event that any provision of these Rules is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
Limitation of Liability
By participating in the Contest, each Participant agrees to release PageWing and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) participation in the Contest and/or the Participant’s acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Contest; (v) electronic or human error in the administration of the Contest or the processing and selection of Submissions. PageWing reserves the right to terminate or modify the Contest if fraud or technical failures compromise the integrity of the Contest as determined by PageWing in its sole discretion. In such case, PageWing may select the winner from all eligible entries received prior to and/or after (if appropriate) the action taken by PageWing. PageWing reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Contest or website or violates the Contest Rules.
PageWing is not responsible for (a) late, lost, stolen, damaged, garbled, incomplete, incorrect or misdirected Submissions or other communications, (b) errors, omissions, interruptions, deletions, defects, or delays in operations or transmission of information, in each case whether arising by way of technical or other failures or malfunctions of computer hardware, software, communications devices, or transmission lines, or (c) data corruption, theft, destruction, unauthorized access to or alteration of Submission materials, loss or otherwise. PageWing is not responsible for electronic communications or emails which are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in any email account to receive email messages. PageWing disclaims any liability for damage to any computer system resulting from participation in, or accessing or downloading any materials or information in connection with, the Contest.
ANY CLAIM, DISPUTE OR CONTROVERSY THE PARTIES MAY HAVE WHICH ARISES OUT OF OR RELATES TO THIS AGREEMENT, OR ANY CONTRACT THAT, BY ITS TERMS IS SUPPLEMENTAL TO OR OTHERWISE MADE SUBJECT TO THIS AGREEMENT, SHALL BE DETERMINED BY ARBITRATION, UNLESS THE PARTIES FURTHER AGREE IN WRITING TO LITIGATE SUCH MATTER OR AS OTHERWISE PROVIDED IN THIS AGREEMENT. THE PARTIES AGREE TO THE FOLLOWING PROCEDURES AND SHALL ABIDE BY THE REQUIREMENTS SET FORTH IN SUBSECTION (i) BELOW AND, IN THE EVENT OF LITIGATION, SUBSECTION (ii) BELOW.
(i) Arbitration. Any arbitration relating to this Agreement, for whatever reason or cause, shall be submitted to and settled by a single arbitrator at an arbitration in the city of New York, Borough of Manhattan, administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. In such arbitration: (a) the arbitrator shall agree to treat as confidential evidence and other information presented by the parties to the same extent as Confidential Information under this Agreement must be held confidential by the parties; (b) the arbitrator shall have no authority to amend or modify any of the terms of this Agreement; and (c) the arbitrator shall have ninety (90) days from the closing statements or submission of post-hearing briefs by the parties to render his or her decision. Any arbitration award shall be final and binding upon the parties, and any court, state or federal, having jurisdiction may enter a judgment on the award. All legal fees incurred by the parties in connection with such arbitration shall be borne by the party who incurs them.
(ii) Litigation in Court. In any litigation relating to this Agreement, for whatever cause or reason, and whether related to a required arbitration or otherwise, the parties: (a) consent to the exclusive jurisdiction of, and venue in, the state and federal courts located in the city of New York, Borough of Manhattan; (b) irrevocably waive to the fullest extent permitted by applicable law, any objection, including any objection to the laying of venue or based on the grounds of forum non conveniens, which the parties may now or hereafter have to the bringing of any such action or proceeding in such court; and (c) irrevocably waive, to the fullest extent permitted by applicable law, any objection or opposition to the other party’s motion to seal and/or close to the public any portion of the record or any hearings, motions or trials. IN ADDITION, THE PARTIES IRREVOCABLY AND UNCONDITIONALLY WAIVE THEIR RESPECTIVE RIGHTS TO A JURY TRIAL FOR ANY CLAIM OR CAUSE OF ACTION BASED UPON OR ARISING OUT OF, DIRECTLY OR INDIRECTLY, THIS AGREEMENT. Notwithstanding the exclusive jurisdiction contemplated above, any judgment may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law.
